ANSA Merchant Bank Ltd (AMBL) is proposing to consolidate its banking operations under ANSA Bank to create a new financial holding company overseeing the ANSA McAL Group’s banking, wealth management, insurance and regional financial services businesses.
The proposal, outlined in a news release yesterday, would see ANSA Bank become the single licensed operating commercial bank within the ANSA McAL Group, combining AMBL’s banking experience and customer relationships with ANSA Bank’s retail, commercial and digital capabilities.
Subject to shareholder and regulatory approvals, the restructuring is targeted for implementation on January 1, 2027.
Under the proposed structure, AMBL would transition into ANSA Financial Holdings Ltd (AFHL), which would become the holding company for ANSA Bank, ANSA Wealth Management, ANSA Financial Holdings (Barbados) Limited and Tatil and its subsidiaries.
The banking business would be transferred from AMBL to ANSA Bank through a statutory vesting process covering the relevant assets, liabilities, rights, obligations and relationships. The company says no action is required from customers or commercial partners at this time.
The proposed structure is intended to strengthen governance and oversight, improve capital and resource allocation, and support expanded digital banking capabilities and more integrated services.
The reorganisation would not change the structure or operations of ANSA Wealth Management, ANSA Financial Holdings (Barbados), or Trinidad and Tobago Insurance and its subsidiaries.
ANSA Merchant Bank chairman Norman Sabga described the proposal as an important step in the evolution of the group’s financial services business.

ANSA Merchant Bank managing director Stephen Grell said the consolidation would allow the two banking businesses to operate as one bank.

The proposal remains subject to the required shareholder and regulatory approvals and other applicable conditions. Further information will be provided as the approval and implementation process progresses.
